Data Room

A clear transaction room without enterprise VDR complexity.

Organise transaction material, invite registered members or share selected files with named recipients, and keep the files for the transaction in one room.

For boutique M&A advisers, transaction lawyers, brokers and smaller professional transactions.

Transaction-room fit

A defined room for a smaller transaction

A single share may be enough for one file. A heavyweight enterprise virtual data room may be more than a smaller transaction requires. Dossira Data Room provides a clear place to organise transaction material and set up member access or deliberate external shares, without claiming that it reproduces an enterprise VDR’s permission and assurance model.

Suggested workflow

A suggested Data Room workflow

Use Dossira for transaction-file organisation and sharing, while disclosure governance, participant records and closing evidence remain in the organisation’s established systems.

  1. 1

    Choose the transaction

Start with Data Room when the main job is to organise and share prepared material for a smaller transaction.

  2. 2

    Organise the folders

Create a clear folder structure and add the prepared transaction documents.

  3. 3

    Set up access

Use registered organisation members or deliberate external shares.

  4. 4

    Keep external scopes deliberate

Create separate shares for recipient-specific subsets where needed.

  5. 5

    Add revised or additional material

Upload updated material with clear filenames or folder placement.

  6. 6

    Expire or revoke shares

Use expiry, revocation or reissue on external shares when access should change.

  7. 7

    Take available files with you

Download the files available to you when the transaction moves on.

What the Data Room supports

Folders and transaction files

Members can organise folders and upload, preview, download and share prepared transaction files.

Members and named-recipient shares

Use registered organisation members or confirmed-email shares for named external recipients.

Expiring and revocable shares

External shares can expire, be revoked and be reissued. These controls affect future access and cannot retrieve a downloaded copy.

Available-file download

Members and recipients can download files available through their access path.

Current product scope

What Dossira does today

A compact view of the file and access workflows a Data Room supports.

Included today

  • Rooms, folders and files

Accepted members can organise folders and upload, preview, download or share prepared files when their assigned room role exposes those actions.

  • Registered members

Organisation members work inside a room according to their technical role. Pending account invitations are not the same as accepted room membership.

  • Named recipient shares

External recipients can open selected shares through confirmed-email PIN verification, or through an explicitly created link where that broader model is appropriate.

  • Expiry and revocation

External shares can expire, be revoked or be reissued. Revocation prevents later access through that share but cannot retrieve an already downloaded copy.

  • Optional file-payload E2EE

Supported enrolled-member flows can use optional file-payload E2EE. Filenames, folder metadata and current guest-sharing flows are outside that boundary.

Not included today

  • Collaborative document editing

Drafting and real-time co-authoring stay in your document tools.

  • Guest uploads or guest passkeys

External recipient access is for opening shared files, not for guest uploads, guest membership or passkey enrolment.

  • Version history and authoritative version state

Dossira retains limited resource/version creator and timestamp provenance, but it does not provide a complete customer-facing version-history workflow or authoritative-version state.

  • Comments, approvals and decisions

Customer-facing comments, acknowledgements, approvals and decisions are not implemented as Dossira workflow events.

  • Complete customer-facing activity ledger

Dossira retains limited resource/version creator and timestamp provenance and share-management records. It does not provide a complete customer activity ledger or export.

  • Room sealing and closing export

A room sealing lifecycle and complete close-and-export package are not implemented.

  • Participant groups or transaction roles

Adviser, bidder, counterparty and other transaction-specific groups are not implemented as permission profiles.

  • Granular registered-member folder permissions

Registered-member folder or per-document permissions are not implemented.

  • Enterprise VDR workflows

Watermarking, NDA gating, Q&A and bulk transaction workflow features are not implemented.

Questions transaction professionals ask

Is Dossira a virtual data room?
Dossira Data Room is intended as a lightweight private transaction room for organising files and selected sharing. It does not claim equivalence with an enterprise VDR and does not provide participant groups, granular folder permissions, watermarking, NDA gating, Q&A or a complete customer-facing activity ledger.
Can different participants see different folders?
Granular folder permissions and transaction participant groups are not implemented for registered members. For an external recipient who should receive only a subset, create a separate deliberate share for that subset and use confirmed-email access where it should be tied to a named address.
Can access be revoked?
Yes. External shares can be revoked, expired or reissued, and registered member access can be removed. These actions prevent future access through the affected path.
Does revoking access remove downloaded copies?
No. Revocation prevents future access through the revoked share or membership, but it cannot erase or retrieve a file that a participant already downloaded or copied.
Are downloads recorded?
Dossira does not currently expose a customer-facing record that can be relied on to show every download. Resources, uploaded versions and shares retain limited provenance or management details, but there is no complete customer-facing room audit ledger or export.
Can we export the room at closing?
Not as a complete transaction record. Users can download files available to them, but a room-closing state and an export containing a disclosure index, participant activity or access history are not implemented.
How is pricing calculated?
Dossira is one product containing Client Rooms, Board Rooms and Data Rooms; there is not a separate transaction-room price schedule.
